TERMS AND CONDITIONS

The holder of a LOCK & KEY LOUNGE ACCESS CARD (the “Access Card”) shall be entitled to access to and benefits from the LOCK & KEY LOUNGE (the “Lounge”), a premium whisky lounge situated at [insert address] in accordance with the terms and conditions provided below.

1. APPLICATION
1.1. Purchase of Access Cards is subject to the submission of a completed Application Form and payment of the fees and credits in Item 2.1 below.
1.2. The Lounge reserves the absolute right and sole discretion to reject any application form and refuse payment from any person for any reason, without obligation to provide justification or explanation. In the event of rejection, any payment received shall be promptly refunded to the applicant, and the Lounge shall incur no liability arising from such refusal.
1.3. The Access Card shall only be effective upon the signing of these Terms and Conditions.
2. ANNUAL FEE AND CREDITS
2.1. Annual Fee and Credits. An Access Card may be purchased by the payment of a minimum of ₱100,000.00 (exclusive of Value Added Tax [“VAT”]), consisting of the following:
a. Access Card Annual Fee: ₱20,000.00, which shall be non-consumable, plus VAT; and
b. Access Card Credits: minimum of ₱80,000.00, which shall be loaded to the Access Card as credits that shall be consumable exclusively at the Lounge. No VAT shall be charged by the Lounge for payment of the credits or for loading the same to the Access Card, but VAT shall be charged upon use of the consumable credits at the Lounge.
2.2. Additional Credits. An Access Card holder (“Cardholder”) may purchase additional consumable Access Card credits at any time during the Term defined in Item 3.1 below, provided that a minimum purchase of ₱50,000.00 in additional consumable credits is required.
2.3. Non-refundable. All fees and credits are non-refundable.
3. TERM
3.1. Term. The Access Card shall be valid for a period of one (1) year counted from the execution of these Terms and Conditions and the issuance of the Access Card to the Cardholder (the “Term”). The Cardholder shall be entitled to use of the Access Card and enjoy the privileges thereof during the Term.
3.2. Credits at End-Term. Access Card credits that are not used by the end of the Term shall be considered forfeited and shall not be reimbursed to the Cardholder, or carried over to any renewal of the, or new, Term.
3.3. Renewal. The Term of the Access Card may be renewed for another one (1) year period, or a new one (1) year Term can be started, upon payment of the Annual Fee and Credits in Item 2.1 above.
4. PRIVILEGES
Cardholders shall have the following privileges during the Term of the Access Card:
4.1. Full access to the Lounge and its amenities;
4.2. Exclusive access to purchase new whisky releases;
4.3. Invitation to whisky tasting sessions with opportunity to purchase special bottles at exclusive prices;
4.4. Preferential rates on special release bottles;
4.5. Invitation to exclusive Cardholder events;
4.6. Concierge services to aid in purchases of rare and exclusive bottles;
4.7. Authorization to bring two (2) guests to the Lounge per visit, provided that the guests shall be accompanied by the Cardholder;
4.8. Access to Lock & Key Viber group with updates on events, news, and new bottle releases; and 4.9. Personalized whisky consultations to facilitate discovery and enjoyment of preferred selections.
5. WHISKY LOCKER
5.1. The first fifty (50) Cardholders of the Lounge shall have complimentary use of whisky lockers for one (1) year coinciding with the Term of their respective Access Cards.
5.2. Upon the lapse of the one (1) year complimentary use period, a Cardholder may, together with the renewal of his Access Card, extend the use of his whisky locker by a period of one (1) year upon payment of the annual whisky locker fee of ₱10,000.00, plus VAT to be determined by the Lounge. Upon payment of such fee, the Cardholder shall have the right to use the whisky locker for the duration or the remainder of the renewed Term of his/her Access Card.
5.3. Cardholders that are not eligible for complimentary use of whisky lockers may, subject to availability, use a whisky locker upon payment of the annual whisky locker fee of ₱10,000.00, plus VAT. The Cardholder shall have the right to use the whisky locker for the duration or the remainder of the Term of his/her Access Card.
5.4. The Cardholder shall be responsible for the use and maintenance of his whisky locker.
5.5. The Lounge shall bear no liability for any loss or damage to the items in the whisky locker except when items stored in the whisky locker are duly endorsed to and received by the Lounge, subject to Item 14 below on force majeure.
6. NON-TRANSFERABILITY
6.1. The Access Card is not transferrable unless otherwise expressly authorized in writing by the Lounge.
6.2. Access Card privileges, including complimentary offerings, are personal to the Cardholder and are non-transferrable unless otherwise expressly authorized in writing by the Lounge.
7. CODE OF CONDUCT
Cardholders and their guests shall observe the following rules in the Lounge:
7.1. Respect all: Treat fellow Cardholders, guests, and staff of the Lounge with courtesy and respect. Disruptive or offensive behavior will not be tolerated.
7.2. Enjoy Responsibly: Savor your whisky in moderation. Overindulgence that impacts others’ experience may result in being asked to leave.
7.3. Dress Appropriately: Maintain a smart, refined appearance in keeping with the lounge’s ambiance. No casual wear such as shorts, flip-flops, or athletic gear.
7.4. Keep it Quiet: Preserve the relaxed atmosphere by keeping conversations civil and volume low.
7.5. No Outside Drinks: Only beverages served by the Lounge are permitted. Bringing external alcohol or food is prohibited.
7.6. Handle with Care: Treat glassware, furniture, and décor with respect. Any damage caused may result in liability.
7.7. Smoking Policy: Smoking, including cigars, is allowed only in designated areas. Respect non-smokers’ space.
7.8. Cardholder Privilege: Access is exclusive to Cardholders and their invited guests, which cannot exceed two (2) persons per visit. Entry of guests in excess of the 2-guest limit must be authorized by the Lounge. Unauthorized entry will be declined.
7.9. Guest Responsibility: Cardholders are fully responsible for the behavior of their guests. Any violation by a guest reflects on the Cardholder. The guests must be accompanied by Cardholders at all times.
7.10. Staff Guidance: Follow the instructions of Lounge staff at all times.
7.11. Right to Remove: The Lounge reserves the right to remove any person who violates these rules, including Cardholders and their guests.
7.12. Leave Graciously: If asked to leave by management for any breach of conduct, please do so quietly and promptly.
7.13. Suspension or Termination: A gross violation of the Code of Conduct may result in the suspension or termination of the Access Card at the sole discretion of the Lounge.
8. INDEMNIFICATION
Cardholders shall indemnify, defend, and hold harmless the Lounge, its owners, officers, employees, and agents from and against any claims, damages, losses, liabilities, or expenses (including reasonable legal fees) arising from the actions, omissions, or breach of these Terms and Conditions by Cardholders or their guests, including but not limited to violations of Lounge rules, misuse of facilities, or harm caused to third parties while on Lounge premises.
9. PROPERTY DAMAGE
9.1. Cardholders shall be liable for any damage to the Lounge’s property, including but not limited to furniture, fixtures, equipment, glassware, and decor, caused by the willful misconduct or negligence of the Cardholders or their guests. The responsible Cardholder shall be responsible for the full cost of repair or replacement of such replacement, as determined by the Lounge in its reasonable discretion. Payment for the same shall be due within five (5) days from the Cardholder’s receipt of the Lounge’s written notice.
9.2. Failure to fully and timely pay such damages may result in suspension or termination of Access Card privileges, including forfeiture or offsetting of fees and credits of the Cardholder, at the sole discretion of the Lounge, without prejudice to other legal remedies available under applicable law.
10. PAYMENT OF AMOUNTS DUE TO THE LOUNGE
10.1. Cardholders shall pay any amounts due to the Lounge in full and on time as specified by the Lounge. Failure to pay fees within five (5) days of the due date may result in suspension or termination of the Access Card, and the Lounge may pursue legal remedies to recover outstanding amounts.
10.2. Failure to fully and timely pay any amounts due to the Lounge shall entitle the Lounge to fully or partially offset the same with available Access Card credits of the Cardholder.
11. LIMITATION OF LIABILITY
To the fullest extent permitted by law, the Lounge shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of property, personal injury, or lost profits, arising from the use of the Lounge facilities or services by the Cardholder and his/her guests, except in cases of gross negligence or willful misconduct by the Lounge. The Lounge’s total liability, if any, shall not exceed the membership fees paid by the Member for the current Term.
12. LOST OR STOLEN PROPERTY
The Lounge shall not be responsible for the loss, theft, or damage of any personal property brought onto the premises by Cardholders or their guests. Cardholders are encouraged to secure their belongings, and any storage facilities provided by the Lounge are used at the Cardholder’s own risk.
13. DATA PRIVACY
The Lounge shall collect, store, process, and disclose personal information of Cardholders and their guests in accordance with Republic Act No. 10173, the Data Privacy Act of 2012, and its implementing rules and regulations. Personal data, including but not limited to names, contact details, and preferences, shall be collected and processed solely for the purposes of Cardholder management, personalized service delivery, event invitations, and promotional offers related to the Lounge. Such data shall be processed fairly and lawfully, stored securely with adequate safeguards against unauthorized access, and disclosed only with the consent of the data subject or as permitted by law. The Lounge shall ensure compliance with the rights of data subjects, including the right to be informed, to access, and to object, as provided under the Act.
14. FORCE MAJEURE
14.1. The Lounge shall not be liable for any damage, delay, failure to perform, or interruption of services resulting from events beyond its reasonable control, including but not limited to acts of God, natural disasters (such as earthquakes, floods, or typhoons), war, terrorism, government restrictions, labor strikes, power outages, or pandemics (collectively, “Force Majeure Events”). In the event of a Force Majeure Event, the Lounge shall be excused from performing its obligations to the Cardholder for the duration of such event, and it shall notify affected parties thereof as soon as practicable. The Lounge shall resume performance promptly once the Force Majeure Event ceases.
14.2. The Cardholder shall not be entitled to any extension of the Term, or refund of any fees or credits, by reason of any Force Majeure Event.
15. TERMINATION
The Lounge reserves the right to suspend or terminate a Cardholder’s Access Card and the privileges thereunder, with or without cause, at its sole discretion, upon written notice to the Cardholder. Grounds for termination may include, but are not limited to, non-payment of fees, violation of Lounge rules, or conduct deemed detrimental to the Lounge’s reputation or operations. Upon termination, no refund of membership fees shall be provided unless otherwise required by law.
16. DISPUTE RESOLUTION
16.1. Any disputes between the Lounge and the Cardholder arising from or in connection with these Terms and Conditions shall be resolved through negotiation in good faith. If unresolved, disputes will be resolved by way of arbitration with the Philippine Dispute Resolution Center, Inc. (“PDRCI”) in accordance with the PDRCI Arbitration Rules in force at the time of the commencement of the arbitration.
16.2. The number of arbitrators shall be one (1). The place of arbitration shall be in Metro Manila, Philippines. The language to be used in the arbitral proceedings shall be English.
17. AMENDMENTS TO TERM AND CONDITIONS
These Terms and Conditions may be revised by the Lounge at its sole discretion, provided that revisions shall not reduce the Terms of Access Cards nor reduce the consumable credits available to Cardholders, and provided further, that revisions to these Terms and Conditions shall only take effect after thirty (30) days’ notice to Cardholders.
18. GOVERNING LAW
The rights and obligations of the parties under these Terms and Conditions shall be governed and construed in accordance with the laws of the Republic of the Philippines.
19. ACKNOWLEDGEMENT AND ACCEPTANCE
By affixing our signatures below, the parties acknowledge that he/she has read, understood, and voluntarily assented to be bound by these Terms and Conditions.
